With years of exposure to the world of venture capital and private equity financings as that process has evolved over time, we have acquired an in-depth understanding of the economic terms at work in a venture capital deal. From plain-vanilla to complex transactions, we have represented the interests of venture capital and other private equity funds, individual or "angel" investors, placement agents and "gatekeepers" in connection with a broad range of investment activities. Our practice includes structuring the transaction, fund formation, secondary market transfers, term sheet and document negotiation and organizational document revisions, and investor rights and shareholder agreements.
We have represented issuers, underwriters, institutional investors and placement agents in a wide range of debt securities transactions, including registered offerings, 144A debt placements involving convertible and high-yield bonds, conventional private placements, and investor-related bridge financings involving various debt securities. We have been on both the issuer-side and the underwriter side of a broad range of structured financings and project financings involving various debt securities. We have also represented both the bank and borrower in numerous commercial lending transactions, including banks who regularly lend to technology-related companies.
